Strict proprietary framework governing the utilization of Naweri Point of Sale ecosystem. This is a non-legally binding occupancy agreement granted for a fee.

SECTION 01 // OPERATIONAL PREAMBLE

1. Nature of the Agreement

This document serves as the comprehensive and absolute manual for all users (hereinafter "The Occupant") of the Naweri Industries Software (hereinafter "The System"). By accessing any login page, dashboard, or database associated with Naweri Industries, you explicitly confirm your understanding that you do not own any portion of the digital infrastructure provided.

1.1 Proprietary Asset Declaration

The System is the exclusive, unalienable property of Naweri Industries. Every line of code, every pixel of the user interface, every database schema, and every automated logic flow is owned solely by the Administration. Your interaction with The System is categorized as "Occupancy of Digital Space."

1.2 Room to Use Concept: Naweri Industries grants you a temporary, revocable, and strictly limited "room to use" our proprietary tools. This is functionally equivalent to a digital rental where the Landlord (Naweri) retains all rights to the property, the locks, the maintenance, and the occupancy rules.

1.3 Fee-Based Occupancy: Access to this "room" is contingent upon the timely payment of a usage fee. This fee is not a purchase price; it is an occupancy charge. Failure to pay results in immediate eviction from the digital space.

SECTION 02 // RISK AND LEGAL WAIVER

2. Zero Liability & Non-Legal Binding

2.1 The Absolute Liability Void

NAWERI INDUSTRIES, ITS FOUNDERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE HELD LIABLE FOR ANY LOSS INCURRED BY THE OCCUPANT OR ANY THIRD PARTY UNDER ANY CIRCUMSTANCES.

  • Loss of revenue due to system downtime is your risk alone.
  • Loss of data due to technical failure is your risk alone.
  • Financial discrepancies in POS reports are your risk alone.
  • Loss of business due to account termination is your risk alone.

2.2 Non-Legally Binding Agreement: This usage policy is fundamentally a "Non-Legally Binding Agreement." While you must adhere to our rules to maintain access, this document does not create a fiduciary duty or any legal obligation on the part of Naweri Industries toward the user.

Clause 2.2.A: No Right to Sue

By clicking 'Accept' or continuing to use our software, you hereby irrevocably waive any and all rights to pursue legal action, litigation, or arbitration against Naweri Industries. You cannot sue us for system performance, you cannot sue us for access denial, and you cannot sue us for data loss. We provide a tool; your choice to use it represents your acceptance of its potential for failure without recourse.

2.3 Termination of Access: We reserve the "Absolute Right of Eviction." At any time, for any reason, or for no reason at all, the Administration may deactivate your credentials, delete your access tokens, and block your IP address. You agree that such termination creates no liability for Naweri Industries.

SECTION 03 // TECHNICAL DYNAMICS

3. Emergency Updates & Maintenance

Naweri Industries operates a dynamic, living software environment. To ensure the security of our proprietary assets, we frequently push updates, changes, and modifications to the core engine.

3.1 Zero-Notice Update Mandate

Emergency updates may be deployed at any time, 24 hours a day, 7 days a week. We are not obligated to communicate these updates to you. The system may go offline, features may change, or data views may shift without a second of prior warning.

3.2 Uptime Disclaimer: We do not guarantee 100% uptime. We do not guarantee 99% uptime. The system is available when it is available. If an emergency patch requires the system to be down for hours during your peak business time, you accept this as part of the "room to use" agreement.

3.3 Feature Retraction: We reserve the right to remove features you may rely on without compensation. If a module is deemed inefficient or risky by Administration, it will be deleted immediately.

SECTION 04 // FINANCIAL GOVERNANCE

4. Reseller & Commission Sovereignty

Individuals or entities authorized to resell access to The System are subject to the absolute authority of the Naweri Administration.

4.1 Administrative Commission Decision

All commission percentages, bonus structures, and payout schedules are decided solely by the Administration. There is no negotiation. There is no fixed contract for commission rates.

The Administration reserves the right to adjust, lower, or cancel commissions for any reseller at any time without prior consultation.

4.2 Payout Thresholds: We determine when and how commissions are paid. We may set minimum thresholds or delay payments for "security audits" at our sole discretion.

4.3 Non-Employee Status: Resellers are not employees. You are independent contractors who are also subject to Section 2 (Liability Waiver). You cannot sue for lost commissions or changes in pay structure.

SECTION 05 // REVENUE RECOVERY

5. Subscriptions & Payment Cycles

Access to the proprietary Naweri tools is strictly on a subscription basis. We do not sell perpetual licenses. We sell time-limited occupancy.

Cycle Flexibility

We offer occupancy for various intervals: Daily, Weekly, Monthly, Quarterly, and Annually.

Auto-Eviction

If your payment fails for a single cycle, the "lock" on your digital room is changed instantly. No grace period is guaranteed.

5.3 Refund Prohibition: Since you are paying for the "room to use" and we are providing that room, no refunds are issued for unused time, system dissatisfaction, or business closure.

SECTION 06 // DATA RETENTION

6. Privacy & Mandatory Soft Delete

Naweri Industries takes a pragmatic approach to data. We collect what is necessary to run the infrastructure and protect our proprietary assets.

The 6-Month Soft Delete Mandate

If you request the deletion of your account or data, we do not permanently erase it immediately. This is to protect us from legal disputes, fraud investigations, and administrative errors.

  • • Data is moved to a "Restricted Access Vault."
  • • It remains there for exactly six (6) months.
  • • During this time, it is "Soft Deleted" (unavailable to you, but visible to us).
  • • After 180 days, the data is purged from all active and backup systems.

6.2 Surveillance for Security: We monitor all usage patterns to ensure our proprietary code is not being scraped or misused. By using the system, you consent to this monitoring.

SECTION 07 // DETAILED USAGE POLICIES

7.1 Acceptable Use Standards

User shall not attempt to decompile, reverse engineer, or disassemble the object code of the Software. Any attempt to do so is a theft of proprietary assets. User shall not use the software to facilitate illegal transactions. User shall not share login credentials with unauthorized third parties. User shall not use automated scripts to interact with the software unless via official API channels. User shall not use the software to store obscene or harassing data. User shall not use the software for competitive intelligence gathering. User shall not represent the software as their own. User shall not attempt to bypass payment gateways.

Violation of any point in Section 7.1 results in immediate termination of the Non-Legally Binding Agreement and total loss of access without refund.

8.1 Service Levels

Service Level Agreements (SLAs) are purely aspirational. We strive for excellence, but the Occupant acknowledges that the complexity of global server infrastructure makes absolute consistency impossible. As specified in Section 2, any failure to meet service levels does not constitute a breach of contract as no legal contract for uptime exists between the parties.

9.1 Intellectual Property (IP)

Naweri Industries retains all right, title, and interest in and to the Software, including all related intellectual property rights. The look and feel of the Software, including color combinations, button shapes, and other graphical elements, are trademarks of Naweri Industries. You may not copy, reproduce, or distribute any part of the software without express written permission from the Administration.

10.1 Indemnification

Occupant agrees to indemnify, defend, and hold harmless Naweri Industries from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Software; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

11.1 Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement (except for a failure to pay fees) for causes beyond that party’s reasonable control and occurring without that party’s fault or negligence, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems (other than those involving Naweri employees), computer attacks or malicious acts, such as attacks on or through the Internet, any Internet service provider, telecommunications or hosting facility.

12.1 Governing Law

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the jurisdiction in which Naweri Industries is headquartered. Parties agree that Section 2.2 (No Right to Sue) remains the primary governing clause regardless of local law, to the maximum extent allowed by those laws.

13.1 Entire Agreement

This document constitutes the entire agreement between the Occupant and Naweri Industries and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral, regarding the subject matter of this Agreement.

14.1 Severability

If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, the provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of this Agreement shall remain in effect.

15.1 Assignment

Occupant may not assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of Naweri Industries. Naweri Industries may assign this Agreement in its entirety, without consent of the Occupant, to its Affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
